Brazil court grants bankruptcy protection for retailer Americanas

SAO PAULO, Jan 19 (Reuters) – A Rio de Janeiro court on Thursday accepted Brazilian retailer Americanas SA’s (AMER3.SA) bankruptcy protection request, days after the company disclosed nearly $4 billion in accounting inconsistencies that have sparked a legal feud with creditors and investors.

Americanas, a 93-year-old company with stores all over Brazil and a major e-commerce unit, said in a securities filing that it would restructure debts of about 43 billion reais ($8.2 billion).

Shares in the company plunged about 42.5% to 1.00 real following news of the filing, extending its year-to-date drop to around 90%.

The firm, backed by the billionaire trio that founded 3G Capital, said the move had come “despite the efforts and measures that the management has been taking in the past few days alongside its financial and legal advisers to protect the company from the effects” of the accounting scandal.

Investors had expected the decision, with some deeming it unavoidable, especially after lender BTG Pactual (BPAC3.SA) obtained on Wednesday a court decision overturning part of the firm’s protection from creditors.

Americanas is also facing seven different investigations launched by securities regulator CVM, as well as an arbitration process requesting compensation of 500 million reais to the firm and the trio that founded 3G Capital.

In a document filed with the court, law firms Basilio Advogados and Salomao Kaiuca Abrahao attributed the urgency in filing for bankruptcy to the creditors’ decision to seize the companies’ assets.

The retailer also mentioned a debt downgrade by ratings agencies, which prevented any new loans from being extended. S&P, Moody’s and Fitch all downgraded Americanas’ credit ratings following the accounting scandal.

Earlier, Americanas had said that its current cash position stood at only 800 million reais, down from a previously reported 7.8 billion.

Lucas Pogetti, a partner at M&A advisers RGS Partners, said a large part of Americanas’ previously disclosed cash position was linked to the prepayment of receivables or deposited with creditors.

“Naturally, when the banks became aware of the company’s real situation they began to adopt a more aggressive posture to protect themselves, consequently restricting access to resources,” Pogetti said.

In the filing, Americanas asks to exclude its fintech, Ame, from the bankruptcy protection, as it is regulated by the central bank, and for authorization to increase its capital.

Americanas’ stores are ubiquitous at Brazilian shopping malls. It e-commerce unit, which traded as a separate company before a recent restructuring, is one of the country’s top online retailers.

Chief executive Sergio Rial resigned last week, less than two weeks after taking the job, citing the discovery of “accounting inconsistencies” totaling 20 billion reais.

Rial, the former head of Banco Santander’s Brazilian arm (SANB3.SA), attributed the inconsistencies to differences in accounting for the financial cost of bank loans and debt with suppliers.

Chief financial officer Andre Covre, who had just joined Americanas as well, also left the firm, which has Brazilian billionaires Jorge Paulo Lemann, Carlos Alberto Sicupira and Marcel Telles as reference shareholders.

Americanas said the reference shareholders intended to maintain the company’s liquidity at levels that allowed for a “good operation” of its stores, digital channel and other entities.

When is Black Friday?

Black Friday is on Friday, November 25. That’s the Thanksgiving and ever year, it’s a great time to get next-level deals on a range of items.

What time is Black Friday over?

Many Black Friday sales end at midnight (Amazon’s end at 3am ET), but others will extend over the weekend and Cyber Monday and most major retailers also launch new deals on Cyber Monday.

Does Black Friday have deals on everything?

Not everything, but a lot is. You’ll see impressive Black Friday discounts on items such as TVs, vacuums, furniture, air fryers, sneakers, clothes, makeup and so much more. Most things are likely to be marked down during Black Friday season.

Does every store have Black Friday sales?

Most do, including major retailers like Amazon, Walmart, Target, Kohl’s, Best Buy, Lowe’s, Home Depot and more.

Are supply chain delays and excess inventory still a thing this year?

‘Any supply chain issues we’re seeing this year aren’t at the same level as those in 2021, but that doesn’t mean they’re totally gone,” says Ramhold of the pandemic-related shortages and delivery delays we experienced last year. So, barring any worst-case scenarios, we should be fine in that regard,

“Retailers have had a year to plan to avoid the massive delivery delays we saw last year, so shopping Black Friday should leave plenty of time for stuff to arrive before the holidays,” notes McGrath. “But that’s assuming no big surprises or snags. Retailers are still overstocked with pandemic-popular items, like small home goods, countertop appliances and casual clothing. So expect good deals in those categories.”

Will inflation impact Black Friday this year?

Last year, consumers nearly $9 billion on Black Friday, just slightly less than the year prior — proving that the economic volatility triggered by the pandemic most likely impacted spending habits. Experts say it’s unclear how inflation will affect Black Friday behavior this year, but they have their theories.

“According to our survey, 70% of shoppers are taking inflation into consideration this year,” confirms McGrath. That means people are not necessarily waiting for Black Friday itself to maximize savings, and instead “beginning their holiday shopping earlier than ever in an effort to spread out cash flow,” adds Gall.

To meet this demand, major retailers are already launching big ‘pre-sale’ events leading up to Black Friday. “Spreading out their shopping will help to prevent [consumers’] budgets from taking a hit all at once,” notes Ramhold. One possible caveat? “If starting prices are higher, then that means [potentially] higher deal prices when all is said and done.”

NVIDIA GeForce RTX 4090 Custom Graphics Cards From Gigabyte Listed By Vietnamese Retailer

With its launch fast approaching, custom models of the NVIDIA GeForce RTX 4090 graphics card from Gigabyte have been listed by a Vietnamese Retailer.

NVIDIA GeForce RTX 4090 Custom Model From Gigabyte Listed: Windforce 3X, Gaming OC & AORUS Flavors In The Works

Update: Australian retailers have also started listing the Gigabyte GeForce RTX 4090 lineup with their preliminary prices which should not be taken as the final MSRP or price. Australian retailers, PCAOS, and Computersperth have listed the cards for prices up to $4550 AUD which converts to over $3000 US.

Following is the retailer price list:

  • Gigabyte RTX 4090 GAMING OC 24GB: 4270 AUD ($2910 USD)
  • Gigabyte RTX 4090 AORUS MASTER 24GB: 3660 AUD ($2499 USD)

Vietnamese retail outlet, Kccshop (via I_Leak_VN), has listed three upcoming graphics cards from Gigabyte which are custom designs for NVIDIA’s upcoming GeForce RTX 4090 graphics cards. The models include two standard Gigabyte offerings (Windforce & Gaming) and an AORUS (Master) variant as listed below.

  • N4090WF3-24GD (Gigabyte GeForce RTX 4090 Windforce 3X)
  • N4090Gaming OC-24GD (Gigabyte GeForce RTX 4090 Gaming OC)
  • N4090AORUS M-24GD (AORUS GeForce RTX 4090 Master)

The retailer seems to be taking pre-orders for these cards early on as it has only received the notification from the manufacturers for these models however we would advise readers to avoid preliminary listings and wait for the cards to be actually available on shelves prior to any purchase.

All three graphics cards will feature a factory overclocked and custom PCB design while rocking 24 GB of GDDR6X memory which is the standard for the NVIDIA GeForce RTX 4090 graphics cards. Just a few hours ago, we leaked the first benchmarks of NVIDIA’s GeForce RTX 4090 reference graphics card which showcases a 2x performance uplift over the RTX 3090 in 3DMark. The specifications for the upcoming models are detailed below.

NVIDIA GeForce RTX 4090 ‘Expected’ Specifications

The NVIDIA GeForce RTX 4090 will use 128 SMs of the 144 SMs for a total of 16,384 CUDA cores. The GPU will come packed with 96 MB of L2 cache and a total of 384 ROPs which is simply insane. The clock speeds are not confirmed yet but considering that the TSMC 4N process is being used, we are expecting clocks between the 2.0-3.0 GHz range.

As for memory specs, the GeForce RTX 4090 is expected to rock 24 GB GDDR6X capacities that will be clocked at 21 Gbps speeds across a 384-bit bus interface. This will provide up to 1 TB/s of bandwidth. This is the same bandwidth as the existing RTX 3090 Ti graphics card and as far as the power consumption is concerned, the TBP is said to be rated at 450W which means that TGP may end up lower than that. The card will be powered by a single 16-pin connector which delivers up to 600W of power. It is likely that we may get 500W+ custom designs as we saw with the RTX 3090 Ti.

The NVIDIA GeForce RTX 40 series graphics cards including the RTX 4080 and RTX 4070 graphics cards will be amongst the first graphics cards besides the RTX 4090 to launch to gamers. The RTX 4090 is so far expected to launch on October 22 but an unveiling is expected at NVIDIA’s GTC keynote later this month.
