Goldman job cuts hit investment banking, global markets hard -source

NEW YORK/LONDON/HONG KONG, Jan 12 (Reuters) – Goldman Sachs (GS.N) began laying off staff on Wednesday in a sweeping cost-cutting drive, with around a third of those affected coming from the investment banking and global markets division, a source familiar with the matter said.

The long-expected jobs cull at the Wall Street titan is expected to represent the biggest contraction in headcount since the financial crisis. It is likely to affect most of the bank’s major divisions, with its investment banking arm facing the deepest cuts, a source told Reuters this month.

Just over 3,000 employees will be let go, the source, who could not be named, said on Monday. A separate source confirmed on Wednesday that cuts had started.

“We know this is a difficult time for people leaving the firm,” a Goldman Sachs statement on Wednesday said.

“We’re grateful for all our people’s contributions, and we’re providing support to ease their transitions. Our focus now is to appropriately size the firm for the opportunities ahead of us in a challenging macroeconomic environment.”

The cuts are part of broader reductions across the banking industry as a possible global recession looms. At least 5,000 people are in the process of being cut from various banks. In addition to the 3,000 from Goldman, Morgan Stanley (MS.N) has cut about 2% of its workforce, or 1,600 people, a source said last month while HSBC (HSBA.L) is shedding at least 200, sources previously said.

Last year was challenging across groups including credit, equities, and investment banking broadly, said Paul Sorbera, president of Wall Street recruitment firm Alliance Consulting. “Many didn’t make budgets.”

“It’s just part of Wall Street,” Sorbera said. “We’re used to seeing layoffs.”

The latest cuts will reduce about 6% of Goldman’s headcount, which stood at 49,100 at the end of the third quarter.

The firm’s headcount had added more than 10,000 jobs since the coronavirus pandemic as markets boomed.

The reductions come as U.S. banking giants are forecast to report lower profits this week. Goldman Sachs is expected to report a net profit of $2.16 billion in the fourth-quarter, according to a mean forecast by analysts on Refinitiv Eikon, down 45% from $3.94 billion net profit in the same period a year earlier.

Shares of Goldman Sachs have partially recovered from a 10% fall last year. The stock closed up 1.99% on Wednesday, up around 6% year-to-date.

LAYOFFS AROUND GLOBE

Goldman’s layoffs began in Asia on Wednesday, where Goldman completed cutting back its private wealth management business and let go of 16 private banking staff across its Hong Kong, Singapore and China offices, a source with knowledge of the matter said.

About eight staff were also laid off in Goldman’s research department in Hong Kong, the source added, with layoffs ongoing in the investment banking and other divisions.

At Goldman’s central London hub, rainfall lessened the prospect of staff huddles. Several security personnel actively patrolled the building’s entrance, but few people were entering or leaving the property. A glimpse into the bank’s recreational area just beyond its lobby showed a handful of staffers in deep conversation but few signs of drama. Wine bars and eateries local to the office were also short of post-lunch trade, in stark contrast to large-scale layoffs of the past when unlucky staffers would typically gather to console one another and plan their next career moves.

In New York, employees were seen streaming into headquarters during the morning rush.

Goldman’s redundancy plans will be followed by a broader spending review of corporate travel and expenses, the Financial Times reported on Wednesday, as the U.S. bank counts the costs of a massive slowdown in corporate dealmaking and a slump in capital markets activity since the war in Ukraine.

The company is also cutting its annual bonus payments this year to reflect depressed market conditions, with payouts expected to fall about 40%.

In today’s fast-paced world, companies need to adapt if they want to stay relevant. Even the Big Tech giants can’t get too comfortable—to remain competitive, large corporations like Google and Amazon are constantly innovating and evolving.

Visual Income Statements: From IPO to Today

Let’s start with Apple, the first company to go public, and the biggest in the mix:

1. Apple

Back in 1998, Apple went by the name “Apple Computer,” because at the time, the company only sold computers and computer hardware kits. However, over the next decade, the company expanded its product offerings and started to sell various consumer tech products like phones, portable music players, and even tablets.

Apple’s consumer tech was so successful, that by 2007 the company decided to drop “Computer” from its name. Fast forward to today, and the company also generates revenue through services like Apple TV and Apple Pay.

While computers are still a core part of its business, the iPhone has become the biggest revenue driver for the company.

In 2021, Apple generated $94.7 billion in profit at a 26% margin. Today, the company is one of the only Big Tech companies that has been able to withstand the industrywide drop in valuations. Sitting strong with a market capitalization over $2 trillion, the company is worth roughly the same as Amazon, Alphabet, and Meta combined.

2. Microsoft

Microsoft, one of the oldest companies on this list, went public in 1985. Back then, the company only sold microprocessors and software—hence the name Micro-Soft.

And while Microsoft’s flagship operating system (Windows) is still one of its major revenue drivers, the company’s product offerings have become much more diverse.

Now, its revenue streams are split fairly evenly between its cloud service (Azure), productivity tools (Office), and personal computing (Xbox and Windows OS).

3. Amazon

When Amazon went public in 1997, the online retailer was only selling books.

But by 1998, Amazon started rapidly expanding its product offering. Soon it was selling everything from CDs and toys to electronics, and even tools.

Fast forward to now, and the ecommerce segment of Amazon has become just a portion of the company’s overall business.

Amazon is also a cloud-service provider (AWS), supermarket chain (with its grocery brands Amazon Fresh and its acquisition of Whole Foods) and even a video streaming service (Prime Video). In particular, AWS stands out as an important part of Amazon’s overall business, driving a whopping 74% of operating profits.

4. Alphabet

When Google went public in 2003, it was a simple search engine that generated about $1.4 billion in ad revenue from its website and cloud network.

Today, the company (now renamed Alphabet) has become synonymous with the internet, and accounts for an overwhelming majority of the internet’s search traffic. Because of this, it generates hundreds of billions in ad revenue each year.

The company also owns YouTube, and has branched out into different verticals as well like consumer tech (Fitbit), and premium streaming (YouTube Premium &TV).

5. Tesla

Tesla’s IPO was in 2008, making it the youngest company on the list. And as the newest kid on the block, Tesla’s revenue streams haven’t changed as drastically as the others have.

However, while electric vehicles are still the company’s main revenue driver, Tesla has managed to dip its toes into other verticals over the last 10 years. For instance, in 2021, about $2.8 billion of its $53.8 billion in revenue came from energy generation and storage.

Mobileye pops more than 30% in IPO after spinning out of Intel

Mobileye shares popped more than 30% in their stock market debut on Wednesday after the maker of technology for self-driving cars was spun out of Intel.

In a year that’s seen no significant tech IPOs in the U.S., Mobileye offers investors an opportunity to get in on area of growth. But it’s not a new name for the market.

Mobileye was publicly traded before Intel bought the Israeli company in 2017 for $15.3 billion. At its IPO price of $21, Mobileye was valued at just $17 billion, resulting in minimal gains for Intel thus far. The stock, trading under the ticker MBLY, rose to $27.85 on Wednesday.

Intel will retain control of Mobileye and hold over 750 million shares of Class B stock, which has 10 times the voting power of Class A stock. The company said in an Oct. 18 filing that it expected the offering to be priced between $18 and $20 per share.

The IPO raised $861 million, and the move to list Mobileye on the Nasdaq is part of Intel’s broader strategy to turn around its core semiconductor business, which has lagged behind rivals like AMD and Nvidia in recent years. Intel said it would use some funds from the Mobileye listing to build more chip factories as it embarks on a capital-intensive process to become a foundry for other chipmakers.

However, Mobileye’s market cap is far below Intel’s earlier expectations, the latest sign that tech investors have cooled on IPOs and have readjusted their valuations from the frothy days of the past half-decade as interest rates rise and the economy slows.

Founded in 1999, Mobileye has partnered with Audi, BMW, Volkswagen, GM, and Ford to develop advanced driving and safety features such as driver assist and lane-keeping using the company’s “EyeQ” camera, chips, and software. Mobileye CEO Amnon Shashua said in the IPO filing that 50 companies are currently using the company’s technology across 800 vehicle models.

Revenue in the second quarter jumped 41% to $460 million. Net loss narrowed to $7 million from $21 million.

Class A stock is what investors will buy in the IPO, and Intel expected there to be 46.26 million Class A shares outstanding, with the potential for more if the underwriters decide to exercise their option to purchase additional shares.

Intel shares were down slightly on Wednesday and have lost about 47% of their value this year, while the Nasdaq is down 29%.

Nasdaq halts IPOs of small Chinese companies as it probes stock rallies

NEW YORK, Oct 22 (Reuters) – Nasdaq Inc (NDAQ.O) has put the brakes on initial public offering (IPO) preparations of at least four small Chinese companies while it investigates short-lived stock rallies of such firms following their debuts, according to lawyers and bankers who work on such stock launches.

The stock exchange operator’s actions come amid a surge in the shares of Chinese companies that raise small amounts, typically $50 million or less, in their IPO. These stocks rise as much as 2,000% in their debuts, only to nosedive in the days that follow, bruising investors who are bold enough to speculate on penny stocks.

Douglas Ellenoff, a corporate and securities attorney at Ellenoff Grossman & Schole LLP, said he was informed by the Nasdaq that certain IPOs will not be allowed to proceed “until they determined what has been the aberrational trading activity in certain Chinese issuers earlier this year.”

“These were last-minute phone calls, just as we thought we were going to go somewhere with the deals,” Ellenoff said.

Nasdaq started asking the advisers of small Chinese IPO candidates questions in mid-September. The questions concerned the identity of their existing shareholders, where they reside, how much they are investing and if they were offered interest-free debt so they can participate, according to one of the bankers, Dan McClory, who is head of equity capital markets at Boustead Securities.

The lawyers and bankers spoke to Reuters on condition that the names of the four companies whose IPOs were halted not be disclosed.

It is not clear what action the Nasdaq will take once it completes its probe and whether all or some of the halted IPOs will be allowed to continue. A Nasdaq spokesman declined to comment.

Seven sources who work on IPOs of small Chinese companies spoke to Reuters on the condition that neither they nor their clients be identified. These sources said that the ephemeral stock rallies were caused by a few overseas investors who concealed their identities and snapped up most of the shares in the offerings, creating the perception that the debuts were in demand.

As a result, Chinese IPOs in the United States have returned this year on average a staggering 426% in their first day of trading, compared with 68% for all other IPOs, according to data from Dealogic.

The Securities and Exchange Commission (SEC) and other U.S. financial regulators have yet to announce a case of successfully prosecuting such pump-and-dump schemes because Chinese companies and their overseas bankers have so far been effective in carrying them out secretly, the seven sources said.

An SEC spokesperson did not immediately respond to a request for comment.

LOOPHOLES

Nasdaq’s intervention underscores how liquidity standards it adopted in the last three years to prevent stock manipulation in small IPOs have loopholes that Chinese companies are exploiting. The rules dictate that a company going public should have at least 300 investors holding at least 100 shares each, totaling a minimum of $2,500.

Yet these requirements have not been sufficient to prevent trading manipulation in some penny stocks. Small Chinese companies have been attracted to Nasdaq’s exchange rather than the New York Stock Exchange because the former has traditionally been the venue of red-hot technology startups – an image these companies often try to project.

“Almost all of these microcap IPOs are ‘story’ stocks, where the promoters try to convince unsophisticated retail investors that this could be the next Moderna or this could be the next Facebook,” said Jay Ritter, a University of Florida professor who studies IPOs.

There have been 57 listings of small Chinese companies in the last five years, up from 17 listings in the prior five years, according to Dealogic. So far this year there have been nine such listings despite the U.S. IPO market facing its worst drought in nearly two decades due to market volatility fueled by the Federal Reserve raising interest rates to fight inflation.

McClory said the trend highlights the looser regulatory requirements for listings in the United States compared with China. “It is virtually impossible for these companies to list onshore in China, and now the Hong Kong market has completely shut down as well,” he said.

Trump-tied SPAC delays vote after falling short on shareholder support

NEW YORK, Oct 10 (Reuters) – The blank-check acquisition firm that agreed to merge with former U.S. President Donald Trump’s social media company postponed on Monday its shareholder vote to Nov. 3 after failing to garner enough support to win a 12-month extension.

At least 65% of the shareholders of Digital World Acquisition Corp (DWAC.O) needed to agree to the extension. The special purpose acquisition company (SPAC) opted to push back the deadline to try to find more votes.

Digital World, which had already pushed back the deadline for its shareholders to vote on the 12-month extension several times over the past month, fell short of that threshold on Monday.

At stake is an over $1 billion private investment in public equity (PIPE) financing that Trump Media & Technology Group (TMTG) stands to receive from Digital World, which inked a go-public deal with the social media company in October 2021.

Digital World last month said it had received termination notices from PIPE investors who were pulling out about $139 million of the total financing commitment.

The transaction with TMTG has been on hold amid civil and criminal investigations into the circumstances around the deal. Digital World has not yet received approval from the U.S. Securities and Exchange Commission (SEC), which is reviewing its disclosures on the deal.

Digital World is set to liquidate on Dec. 8, after managing to extend its life by three months in September.

Reuters reported last month that executives behind Digital World had failed to pay Saratoga Proxy Consulting, their proxy solicitors, for its work rallying shareholders for the vote.

Poshmark to Sell Itself for Less Than Half Its IPO Price to Korea’s Naver

is paying $17.90 a share in cash for Poshmark, the companies said. Poshmark priced its initial public offering at $42 a share in January 2021 and the shares more than doubled on their first day. The stock has slumped since and closed Monday at $15.57.

The transaction values Poshmark at about $1.6 billion, including about $580 million of cash reserves, Naver said. Poshmark’s peak market capitalization was $7.3 billion, which it hit on the day it went public, according to FactSet.

Poshmark looks and behaves much like Instagram, motivating sellers to give and receive comments and “likes” and allowing users to follow their favorite sellers. Similar to

sellers take photos of their own items and sell them directly. Poshmark collects fees on sales on its marketplace but doesn’t hold any inventory.

While the Covid-19 pandemic gave a boost to online shopping, Poshmark’s losses have widened and its revenue growth has slowed this year. After reaching $90.9 million in revenue in the March quarter, revenue edged down to $89.1 million in the June quarter and Poshmark forecast it would come in between $85 million and $87 million for the September quarter.

Naver is South Korea’s largest web portal and operates as a major search engine ahead of Google locally. It also offers mobile payments and online shopping. The companies said the combination would help Poshmark expand into Korea and other parts of Asia. Poshmark currently offers its app to users in the U.S., Canada, Australia and India. It would also give Naver a bigger foothold in the U.S. market.

Naver expects the deal will enable savings totaling around $30 million for the two companies. That includes gains from reducing redundant costs and Poshmark’s expected gains from accessing Naver’s live-commerce solutions and other technologies, said Kim Nam-sun, Naver’s chief financial officer, in a conference call.

Naver’s shares fell by nearly 9% on Tuesday following news of the Poshmark acquisition.

played down the stock slide. The purchase was made at a very reasonable price, she said, expressing confidence that the so-called customer-to-customer market that Poshmark operates in would continue to grow in the years ahead.

With the acquisition, Naver expects to help Poshmark improve its marketing campaigns and to pursue partnerships with the South Korean company’s own offerings. As an example, Ms. Choi cited Weverse, an online marketplace for K-pop merchandise it jointly owns with HYBE Co., the agency behind boy band BTS.

“We will continue to pursue new projects and study the best ways to create service synergies between the two firms,” Ms. Choi said.

Intel-owned Mobileye files S-1 for IPO

Mobileye, an Intel-owned company that makes chips, maps, and software for self-driving cars, has filed for an IPO, according to a prospectus filed with the SEC on Friday.

Mobileye’s filling indicates strong revenue growth for the Israeli-based subsidiary, from $879 million in sales in 2019, to $967 million in 2020, to $1.39 billion last year. Losses have shrunk from $328 million in 2019 to $75 million last year.

The move to list Mobileye on the Nasdaq is part of Intel’s broader strategy to turn around its core business. Intel acquired the company for $15.3 billion in 2017 and had previously announced plans to take Mobileye public this year.

Intel previously said that it would use some funds from the Mobileye listing to build more chip factories as it embarks on a capital-intensive process to become a foundry for other chipmakers.

Mobileye, founded in 1999, has partnered with Audi, BMW, Volkswagen, GM, and Ford to develop advanced driving and safety features such as driver assist and lane-keeping using the company’s “EyeQ” camera, chips, and software. The prospectus says that Mobileye is planning to list Class A common stock, but did not provide the number of shares or price range for the proposed offering. Intel will maintain ownership of Class B shares that have ten times the votes of Class A shares, according to the prospectus, giving it control over the company’s board and other decisions.

Intel is looking to test the public markets at a time where the appetite for futuristic growth technology like self-driving cars have slowed significantly in the face of rising inflation and macroeconomic concerns.

Intel stock was up less than 1% in extended trading.

Porsche races higher after landmark $72 bln listing

FRANKFURT, Sept 29 (Reuters) – Porsche AG shares made a strong start on Thursday after Volkswagen (VOWG_p.DE) defied volatile markets to list the sports car brand at a valuation of 75 billion euros ($72 billion) in Germany’s second-biggest market debut ever.

Volkswagen priced Porsche AG shares at the top end of the indicated range and raised 19.5 billion euros from the flotation to fund the group’s electrification drive. Porsche AG stock was trading up 4.6% from the issue price of 82.50 euros at 0927 GMT.

That lifted Porsche AG’s valuation to 78.5 billion euros, close to the market capitalisation of Volkswagen as a whole, which is worth around 81 billion euros, and puts it ahead of rivals like Ferrari (RACE.MI). It is Germany’s biggest listing since Deutsche Telekom (DTEGn.DE) in 1996.

Porsche AG’s strong start came despite broadly weaker stock markets following red-hot German inflation data. Shares in Volkswagen and holding firm Porsche SE (PSHG_p.DE), which owns a blocking minority in Porsche AG, were down 3.8% and 8%, respectively, as investors switched across.

“This is not exactly a dream environment for an IPO today,” said Thomas Altmann, a wealth manager at QC Partners.

Porsche’s flotation comes as European listings are facing their worst year since 2009, as investors fret about a possible global recession amid soaring inflation, rising interest rates and the war in Ukraine.

Companies in the region have raised $44 billion from equity capital markets deals up to Sept. 27, according to Refinitiv data, with only $4.5 billion from initial public offerings.

“There’s a lot to like about the company, with its aggressive electrification plans, expected strong cashflow generation and premium brand positioning in the market,” Chi Chan, Portfolio Manager European Equities at Federated Hermes Limited, told Reuters.

“However, it is coming to market at a time of unprecedented turmoil and consumer confidence is falling.”

Porsche vs rivals

‘PEARL OF VOLKSWAGEN’

Porsche AG’s Chief Executive Oliver Blume, whose dual role as the new head of Volkswagen has drawn criticism from some investors, hailed the listing as an “historic moment” as he hugged colleagues and rang the bell on a packed Frankfurt stock exchange trading floor.

Volkswagen has said the market’s volatility was precisely why fund managers were sorely in need of a stable and profitable business like Porsche AG to invest in.

“Porsche was and is the pearl in the Volkswagen Group,” Chris-Oliver Schickentanz, chief investment officer at fund manager Capitell, said. “The IPO has now made it very, very transparent what value the market brings to Porsche.”

Faced with tens of billions of costs for a radical shift towards electric mobility and software, Volkswagen executives had long mulled listing Porsche, a move executives hoped would both raise much-needed funds and lift Volkswagen’s own value.

The Porsche and Piech families, whose holding company Porsche SE controls Volkswagen, will in turn solidify their control over Porsche AG as they will own 25%, plus one ordinary share – carrying voting rights – in the sports car brand.

Up to 113,875,000 preferred Porsche AG shares, carrying no voting rights, were sold in the initial public offering.

Bank of America, Citigroup, Goldman Sachs and JPMorgan worked as joint global coordinators and joint bookrunners on the deal, while Mediobanca acted as financial adviser to Porsche.

Porsche shares rose in their stock market debut Thursday, in one of the biggest public offerings in Europe ever.

Shares of the iconic sports car brand initially traded at 84 euros ($81) on Thursday morning after they had been priced at the top end of their range late Wednesday, at 82.50 euros. It values the company at roughly 75 billion euros.

By 9:30 a.m. London time Thursday shares had steadied at 84.50 euros. Parent company Volkswagen is offering 911 million shares, a reference to Porsche’s famous 911 model.

“Today is a great day for Porsche and a great day for Volkswagen,” Arno Antlitz, Volkswagen’s chief financial officer told CNBC’s “Squawk Box Europe” Thursday.

The organization knew the IPO would be successful, according to Antlitz, citing “strong financials” and “a very convincing strategy for the future.”

“We were convinced despite the challenging environment this IPO would prove successful, and we were right,” he told CNBC’s Annette Weisbach.

Before trading started reactions were positive, with cornerstone investors having already claimed around 40% of the shares on offer, according to Reuters. Until now the sole owner of Porsche AG, Volkswagen is reducing its stake in the sports car firm, with a 12.5% slice being listed.

Listing shares should give Porsche a financial boost of 19.5 billion euros, giving the company more financial flexibility in terms of electric vehicles, according to Volkswagen.

The landmark listing comes at a time of market choppiness as the auto industry continues to feel the effects of the war in Ukraine, and valuations of other luxury carmakers including Aston Martin, Ferrari, BMW and Mercedes-Benz have all dropped in recent months.

“The Porsche AG has completely decoupled itself from the negative market trends,” one investor told Reuters, translated by CNBC. Companies are thought to be delaying going public because of current market conditions. 

The IPO isn’t set to be a trailblazer for other companies to follow suit however, as Porsche remains a particularly strong brand with a unique market position. Volkswagen initially announced its plans for Porsche to go public on Sept. 5.

Antlitz also addressed the ongoing semiconductor shortages, which will continue to be an issue this year.

“We expect a better supply in 2023, but we expect an easing of the shortage to kick in in 2024,” Antlitz told CNBC.

Hong Kong’s largest IPOs for 2022 Onewo and Leapmotor trading debut

Leapmotor and Onewo, among Hong Kong’s largest completed initial public offerings of the year, dropped on their first day of trade in the city on Thursday.

Chinese electric vehicle maker Leapmotor’s shares tumbled as much as 32% from its offer price of 48 Hong Kong dollars ($6.11) per share. It last traded 27.7% lower.

Shares of Onewo fell 7.9% from its offer price of 49.35 Hong Kong dollars ($6.29) per share in early trade, and was last 4.76% lower.

The moves come after the companies’ shares reportedly fell in grey market trading the previous day.

The broader Hang Seng index was last up 1.49%.

The retail tranche of shares for both initial public offerings were undersubscribed, according to their respective filings. Around 82% of Onewo’s shares for the local market were bought, and only 16% of Leapmotor were purchased, the filings said.

Unsold shares were allocated to international buyers.

Onewo, a subsidiary of property developer China Vanke, raised 5.6 billion Hong Kong dollars ($713.5 million), while Leapmotor raised 6.06 billion Hong Kong dollars ($771.7 million).

Data from the Hong Kong Exchange (HKEX) show there were 48 new listings in Hong Kong from January to August in 2022, raising a total of 56 billion Hong Kong dollars ($7.1 billion) – a steep drop from the same period in 2021, in which there were 69 new listings that raised 271.4 billion Hong Kong dollars ($34.6 billion).
