Ford counterattacks in ‘cruise’ dispute with GM

DETROIT, Aug 13 (Reuters) – Ford Motor Co (F.N) said late on Friday it will ask the U.S. Patent Office to rescind trademarks obtained by rival General Motors Co (GM.N) for the terms “Cruise” and “Super Cruise,” escalating a brawl GM began by suing Ford over its use of “Blue Cruise” for an automated driving system.

The legal fight between the two Detroit automakers turns on whether “cruise” is a generic term for technology that allows the car to take over some share of driving tasks from a human motorist.

The clash underscores the intensity of competition among established automakers to be seen as leaders in automated driving technology, competitive with Silicon Valley rivals Tesla Inc (TSLA.O), Alphabet Inc(GOOGL.O) ‘s Waymo unit and others.

GM filed a federal suit against Ford on July 24, accusing Ford of violating GM trademarks by using the name “Blue Cruise” for a system that enables hands-free driving. read more

GM had previously trademarked “Super Cruise” for its hands-free, partially automated driving technology. It also has trademarked “Cruise,” the name of its robo-taxi unit in San Francisco.

Ford reiterated on Friday its position that GM’s suit is frivolous. The effort to nullify GM’s trademarks for the use of the word “cruise” takes the fight to a new level.

“To defend itself, Ford has no choice but to ask the U.S. Patent and Trademark Office to rescind both of GM’s “Cruise” and “Super Cruise” trademark registrations that should have never been registered in the first place,” Ford said. “Any number of companies use the word ‘cruise’ in connection with driver assist technology.”

Among the examples Ford cited: “Predictive Cruise,” marketed by Mack Trucks; “Smart Cruise Control” marketed by Hyundai Motor Co (005380.KS), and Autocruise, used by auto supplier ZF Friedrichshafen AG.

GM said Friday that Super Cruise “has had a well established commercial presence since 2017,” and added in a statement that the company “remains committed to vigorously defending our brands and protecting the equity our products and technology have earned over several years in the market and that won’t change.”

Tesla sold 32,968 China-made vehicles in July, local sales plunged m/m

BEIJING, Aug 10 (Reuters) – U.S. electric vehicle maker Tesla Inc (TSLA.O) sold 32,968 China-made vehicles in July, including 24,347 for export, the China Passenger Car Association (CPCA) said on Tuesday.

Local sales of China-made vehicles plunged 69% to 8,621 cars from 28,138 in June. Tesla’s sales in the first month of each quarter are usually lower than the following two months.

The company, which makes Model 3 sedans and Model Y sport-utility vehicles in Shanghai, sold 33,155 China-made vehicles in June.

Last month, Tesla introduced a cheaper version of the Model Y in China, where it faces increased scrutiny from both regulators and the public and growing competition from local rivals. It also lowered the starting price for Model 3 sedans.

China’s BYD sold 50,387 electric vehicles last month, while General Motors Co’s (GM.N) China joint venture with SAIC Motor (600104.SS) delivered 27,347 units.

CPCA also said China sold 1.52 million passenger cars in July, down 6.4% from a year earlier.

Wolfsburg, we have a problem: How Volkswagen stalled in China

BEIJING, Aug 9 (Reuters) – In late December 2019, managers at Volkswagen (VOWG_p.DE) headquarters in Wolfsburg realised they might have a serious problem in China, the company’s biggest market and ticket to its electric future.

Its flagship Passat sedan had fared badly in an unofficial safety test carried out by an insurance industry body which simulated a front-on driver’s side collision, a test that’s been widely used in the United States for around a decade.

The car was mangled. The crash-test video went viral, attracting millions of views and triggering a social media furore across China, where the German auto king’s success is built on its reputation for superior quality and engineering.

Volkswagen was not obliged to do anything – the Passat had passed the Chinese regulator’s frontal collision test, the same test that’s used in much of Europe, and one that the carmaker and many industry experts believe better reflects driving conditions in China.

Nonetheless, Wolfsburg acted swiftly, according to two people with direct knowledge of the matter. Days after the test results were announced, it assembled a team of dozens of engineers and managers to work with SAIC-Volkswagen, the 50/50 joint venture that makes Passats in China, they said.

In early 2020, that team decided that strengthening metal components should be added to the front of all new Passats and a variety of other models made at the Shanghai-based venture, at a cost of about 400 yuan ($62) per vehicle, according to the sources.

That structural modification, details of which have not been previously reported, would amount to tens of millions of dollars for the hundreds of thousands of vehicles that would be affected at the venture a year, the sources said. It was a significant cost for a company that had said it was trying to trim manufacturing costs in China and globally.

The intervention in the face of online consumer activism underlines the importance of China, the world’s biggest car market, and one which Volkswagen is relying on to fund its 35-billion-euro ($42 billion) transition to electric vehicles and make good on its pledge to overtake Tesla Inc (TSLA.O) to become global EV leader by 2025.

Global automakers’ expensive renunciation of oil comes at a time when they can no longer count on the dominance they have enjoyed in decades gone by in China, where they’re feeling the heat from local gasoline and electric players challenging them on technology and design.

A Volkswagen spokesperson said it developed products specifically for the Chinese market and that the test failed by the Passat had simulated a head-on collision between two cars, a scenario it said was less likely in China than the United States.

“In China there are central barriers on the highways,” Volkswagen added. “In China there aren’t normally as many trucks or pickup trucks compared to U.S. traffic scenarios.”

Asked about the 400-yuan modification, the spokesperson said Volkswagen was constantly improving its products according to customer feedback, and to make them safer.

‘UTMOST IMPORTANCE FOR VW’S HEALTH’

It’s difficult to compare designs of Passats across Volkswagen’s markets as they are often fundamentally different vehicles built on different production platforms.

The new Passat in China was the first model to have such a structural modification when it was rolled out in mid-2020, according to the sources. It passed the insurance industry test that its predecessor had failed.

But the reputational and financial damage has proved more persistent for Volkswagen, which has been the top-selling foreign carmaker in China and has made largely healthy profits during its over three decades there, the longest of any overseas player.

Volkswagen’s profit per vehicle in the country has fallen from levels of 1,400-1,500 euros around 2015 to around 1,000 euros and even closer to 800 euros in most recent quarters, according to Bernstein analysts who described China as “of utmost importance for VW’s financial health”.

Sales of the Passat, and more broadly at the venture with SAIC Motor (600104.SS), have slumped – something Volkswagen has attributed mainly to the backlash over the failed crash test, as well as product lineup issues and a global chip shortage.

In a sign of the financial pressures facing the industry, one internal memo, seen by Reuters, showed SAIC-Volkswagen’s finance team ordered managers to cut costs at workshops by 30% in 2019, versus the year before, when China’s car sales dropped for the first time since 1990s.

Volkswagen declined to comment on the Bernstein profitability figures or the internal memo.

SAIC-Volkswagen’s revenue dropped 26% to 174.5 billion yuan last year versus 2019, while profit fell 23% to 31 billion yuan. Sales of the Passat, once one of the best-sellers in its sedan class before the insurance body’s test, fell 32% to 145,805 vehicles, according to consultancy LMC Automotive.

While the COVID-19 pandemic clearly played a big role, the decline at the venture was far steeper than the overall 6.8% fall in Chinese passenger vehicle sales in the same period, according to data from the China Passenger Car Association.

Moreover Volkswagen’s other main venture in the country, with local automaker FAW – whose products were not involved in the crash test controversy – saw sales rise 1.5%, though VW officials say it gained momentum by introducing SUVs and premium Audi models to the market.

The two joint ventures make up the bulk of Volkswagen’s Chinese business, accounting for all its local production. They have historically been close in numbers of vehicles sold, though FAW has taken the lead in recent years.

There’s been no respite for SAIC-Volkswagen in 2021, with sales falling 7.8% in the first six months compared with a year earlier when the pandemic raged. FAW-Volkswagen saw sales grow 23% while overall Chinese passenger car sales jumped about 29%.

CRASH TEST FRACTURED ‘A-PILLAR’

The C-IASI test that the Passat initially failed in 2019 was developed by a Chinese insurance industry body, the CIRI Auto Technology Institute, which was unsatisfied with the standard C-NCAP test conducted by CATARC, a government-backed vehicle testing agency.

It said many insurers felt that C-NCAP failed to distinguish in enough detail between vehicles in terms of collision safety, and started publishing test results in 2018.

Most foreign car brands received positive results in the C-IASI test, though even those that fared poorly did not receive the online backlash that was aimed at the Passat.

The C-IASI test subjects 25% of the car’s front to a head-on impact. It fractured the Passat driver’s side front roof support, known as the A-pillar.

The standard C-NCAP test hits 40% of the car front, which allows the impact to be better absorbed.

The CIRI and CATARC did not respond to requests for comment.

In the United States, a 25% frontal impact test is used by the Insurance Institute for Highway Safety (IIHS), a nonprofit group funded by auto insurers. IIHS tests are widely publicized, and automakers design vehicles to pass them as well as federal crash tests.

Volkswagen’s China chief Stephan Woellenstein acknowledged in January that the failed crash test and subsequent online backlash had triggered the decline in Passat and SAIC venture sales.

Last month, though, he said Volkswagen had fixed the problems revealed by the test, that the ructions of the episode had subsided and the carmaker’s Chinese business was recovering.

“We have once again clearly one of the safest cars on the market in this segment,” Woellenstein told reporters in July. “We will once again take up the old leadership of the Passat.”

But there is quite some ground to regain in the large family car segment.

A total of 47,480 Passats were sold in the first six months of this year in China, some way behind the 91,110 Toyota Camrys (7203.T) and 89,157 Honda Accords (7267.T), according to LMC.

The figures from the same period of 2019, before the pandemic struck, show how steeply the Volkswagen model has fallen away of late: 91,400 Passats were sold versus 111,968 Accords and 85,396 Camrys.

Toyota, Honda beat profit estimates but warn of extended chip crunch

TOKYO, Aug 4 (Reuters) – Toyota Motor Corp (7203.T) posted record quarterly earnings and Honda Motor Co (7267.T) raised its annual profit forecast on Wednesday as post-lockdown sales surge, but the pair joined other automakers in warning that the global chip shortage would persist.

The two Japanese car makers are facing production problems in China, which on Wednesday reported the most new locally transmitted COVID-19 cases since January.

Honda Executive Vice President Seiji Kuraishi told reporters that the company suspended production at its plant in Wuhan on Aug. 3 due to a COVID-19 case cluster that developed at a supplier. He added that the stoppage was not expected to last long.

Toyota has suspended production at one assembly line in Guangzhou that it operates with its Chinese joint-venture partner Guangzhou Automobile Group Co Ltd (601238.SS), a person familiar with the matter told Reuters on Wednesday.

The person, who declined to be named due to confidentiality reasons, could not say when the suspension began, how long it would last, nor which models were affected.

In Thailand too, Toyota, the world’s largest automaker by sales volumes, had to suspend production last month at three factories due to a pandemic-related parts shortage. read more

Still, the company maintained its forecast to sell 8.7 million cars in the year ending March 2022 and said sales volumes in the first quarter recovered to near 2019 levels.

Toyota shares fell as much as 2%, and closed down 0.9%, with some investors disappointed that the company had not lifted its profit guidance despite beating a first-quarter market estimate.

Honda, Japan’s No.2 automaker by sales, lowered it sales volume outlook to 4.85 million vehicles from 5 million but raised its full-year forecast after swinging to a first-quarter operating profit that was double analyst expectations. read more

CHIP SHORTAGES

“Despite all the headwinds – from the chip shortage, to a COVID resurgence in Southeast Asia, to the slowdown in demand growth in China, as well as a sharp rise in material costs – this was a strong quarter,” said Masayuki Kubota, Rakuten Securities Inc’s chief strategist, referring to Toyota.

Toyota might revise its outlook for the year after the first half, he added.

The company’s operating profit soared to 997.49 billion yen ($9.15 billion) for the three months ended June 30 from the pandemic-hit first quarter of last year, beating an average analysts’ estimate of 752 billion yen.

Toyota has fared better than rivals through the chip crisis thanks to its much larger stockpile of chips.

The Japanese firm benefitted from a business continuity plan developed in the wake of the Fukushima earthquake in 2011 that required suppliers to stockpile chips, Reuters reported in March. read more

Lordstown Motors says hedge fund may buy up to $400 mln of its stock

July 26 (Reuters) – Lordstown Motors Corp (RIDE.O) said on Monday hedge fund YA II PN Ltd has committed to purchase up to $400 million of the company’s shares, over a three year period, coming at a crucial time when the electric-truck maker faces heightened regulatory scrutiny related to its SPAC merger and vehicle pre-orders.

Under the deal, YA can receive nearly 35 million Lordstown shares upon execution of the agreement, subject to the approval of Lordstown shareholders, as well as a small discount on the shares whenever purchased, according to a regulatory filing.

Lordstown’s shares rose 3.9% to $7.77 and are on track to snap a three-day streak of losses.

Some industry observers called it a good deal for Lordstown.

“Existing shareholders are not taking $400 million worth of dilution. It’s like a standby commitment on the part of YA to buy stock when Lordstown says it needs more money,” said Erik Gordon, professor at the University of Michigan’s Ross School of Business.

“I was surprised. It’s more like the knight in shining armor than the vulture at the carcass.”

The agreement comes a month after Lordstown warned it may not be able to continue as a “going concern.” The company had since attempted to allay fears by saying it was in talks with multiple parties to raise funds.

The investor, YA II PN Ltd, is a fund managed by Mountainside, New Jersey-based investment manager Yorkville Advisors Global LP.

Yorkville has investments in more than 700 companies in over 20 countries, according to its website. Its current active sectors include healthcare, metals and mining, energy, technology, and cannabis. Some of its investments include cannabis deals network Leafbuyer.com, copper ores company Copperstone Resources and biotechnology company CytoTools.

Yorkville Advisors Global did not immediately respond to a Reuters’ request for comment.

Dollar, yen on back foot as risk sentiment revives; Musk buoys bitcoin

TOKYO, July 22 (Reuters) – The safe-harbour U.S. dollar and yen were on the back foot on Thursday, after pulling back from multi-month highs amid a recovery in risk appetite as strong earnings lifted Wall Street stocks.

Cryptocurrencies held gains after Tesla Inc (TSLA.O) CEO Elon Musk said the company would “most likely” resume accepting bitcoin for payment. read more

The dollar index , which measures the currency against six major peers, stood at 92.770 after pulling back from a 3 1/2-month high of 93.194 touched on Wednesday.

The yen traded at 129.950 per euro , from an almost four-month top of 128.610 earlier this week, and at 81.07 to Australia’s dollar , from a 5 1/2-month peak of 79.85.

“Strong earnings have swept away Delta concerns in the U.S.,” weighing on haven currencies, National Australia Bank analyst Tapas Strickland wrote in a note to clients.

“The consensus is that (the Delta strain) does not pose an immediate risk to the recovery,” delaying reopening by three months at the most as countries ramp up vaccination drives in response, he said.

Sterling traded at $1.3717, recovering from a 5 1/2-month trough of $1.35725 reached on Tuesday, despite rising Delta variant cases in Britain and confusion about the lifting of restrictions in England.

The Aussie changed hands at $0.7350, from an eight-month low of $0.72895 the previous day, even as coronavirus cases spiked despite half the Australian population being under lockdown. read more

The euro stood at $1.1789, rising off Wednesday’s 3-1/2-month low of $1.1752 ahead of a closely watched European Central Bank policy decision later in the global day.

Policymakers will implement for the first time changes to their strategy and are all but certain to promise an even longer period of stimulus to make good on its commitment to boost inflation. read more

Analysts generally see ECB dovishness weakening the euro over the medium-term.

“On balance, the ECB’s new inflation target suggests monetary policy will remain ultra‑accommodative for an even longer period of time,” which will act as a headwind for the euro, Commonwealth Bank of Australia strategists Kim Mundy and Carol Kong wrote in a research note.

“Indeed, we expect the ECB will be one of the last central banks under our coverage to tighten policy.”

In cryptocurrencies, bitcoin held Wednesday’s 7.9% jump – the biggest since mid-June – to trade just north of$32,000.

Rival ether traded slightly below $2,000 following a 12% surge.

Musk trial asks the $2 bln question: Who controls Tesla?

July 9 (Reuters) – Does Elon Musk control Tesla Inc (TSLA.O) or does Tesla control Elon Musk?

More than $2 billion hinges on that question as a trial kicks off on Monday. Shareholders allege that Musk used his control of Tesla to force the company in 2016 to rescue SolarCity, saving the solar panel maker – and Musk’s investment in the company – from bankruptcy.

The union pension funds and asset managers leading the case want Musk to repay to Tesla the cost of the $2.6 billion deal and to disgorge the profits on his SolarCity stock. If they win, it would be one of the largest judgments against an individual.

The two-week trial in the Court of Chancery in Wilmington, Delaware, will boil down to whether Musk, who owned about 22% of Tesla at the time of the deal, is that rare controlling stockholder who does not hold a majority stake.

“I think it’s going to be very hard for the court to ignore the reality that Elon Musk is Elon Musk and his relationship with Tesla,” said Ann Lipton, a professor at Tulane University Law School.

She said the case might present an unusual situation given Musk’s celebrity status, his personal ties to Tesla board members and those board members’ financial ties to SolarCity.

“Put it all together, and it might be enough to count as a controlling shareholder,” she said.

Few executives dominate their company’s image as much Musk, known for taunting regulators, battling naysayers and personally engaging with his 57 million Twitter followers.

“We are highly dependent on the services of Elon Musk, Technoking of Tesla and our Chief Executive Officer,” said Tesla’s 2020 annual report.

Plaintiffs allege that Musk drove the negotiations and even pushed Tesla’s board to raise, not lower, the price for SolarCity.

A higher price benefited Musk, who was the largest shareholder of SolarCity, with a stake of about 22%, as well as four members of Tesla’s board, who directly or indirectly owned SolarCity stock, according to court records.

Board members settled allegations against them last year for $60 million and did not admit to any fault.

Plaintiffs also allege the deal benefited two of Musk’s cousins who founded SolarCity, saving a company that was rapidly running low on cash.

Musk has said he was “fully recused” from board negotiations and that shareholders voted to approve the deal because it was central to his “Master Plan, Part Deux” that aims to integrate sustainable solar energy with electric self-driving cars.

He has said that what plaintiffs see as evidence of control is little more than strong management.

“Taken to its natural conclusion, virtually all ‘hands-on’ and ‘inspirational’ CEOs with minority stock ownership would be deemed controllers,” Musk’s lawyers wrote in a court filing.

If Vice Chancellor Joseph Slights determines Musk was a controlling shareholder, it will fall to Musk to prove the SolarCity deal met the high bar of the “entire fairness” standard, which examines process and price, said legal experts.

Musk has noted in court papers that the SolarCity deal has been a huge success for Tesla shareholders, demonstrating the deal was not only fair, but a boon. After Tesla split its stock 5-1 in 2020, it has risen to $652 on Thursday from near $37 a share when the deal closed in November 2016.

“If the vice chancellor thinks this deal was awful and was not effectively negotiated on behalf of the company, he’ll strike it down,” said Larry Hamermesh, a professor at Delaware Law School.

Tesla Q2 deliveries meet analysts’ estimates despite chip shortage, shares gain

July 2 (Reuters) – Tesla Inc (TSLA.O) on Friday posted record vehicle deliveries for the second quarter that were in line with Wall Street estimates as the electric-car maker coped with a shortage of chips and raw materials.

Tesla delivered 201,250 vehicles in total during the second quarter. Analysts had expected Tesla to deliver 200,258 vehicles, according to Refinitiv data.

“Congrats Tesla Team on over 200,000 car built & delivered in Q2, despite many challenges!!” Musk said in a tweet.

Shares of the company were up 3% in early trading on Friday.

The numbers showed that strong deliveries of its Model 3 sedans and Model Y crossovers, its two lower priced variants, offset a drop in deliveries of higher-end Model S and X variants.

Tesla has been raising prices for its vehicles in recent months, which its billionaire boss, Elon Musk, blamed in May on “major supply chain price pressure”, especially raw materials. read more

He also said in early June that “Our biggest challenge is supply chain, especially microcontroller chips. Never seen anything like it.”

MODEL S,X DELIVERIES FALL

Overall deliveries of its higher priced Model S and X cars fell to 1,890 during the April to June period, from a meager 2,020 the preceding quarter, Tesla said.

Shares of Tesla Inc (TSLA.O) fell more than 4% on Tuesday as its first-quarter earnings results failed to alleviate investor concerns about its lofty evaluation, as well as a prolonged global chip shortage and rising competition.

The electric car maker’s quarterly revenue made it barely past estimates, relying mostly on sales of environmental credits sold to other automakers and the liquidation of 10% of its $1.5 billion bitcoin investment.

“Tesla’s performance was OK but it wasn’t a Elon Musk slam dunk…I don’t think people are into Tesla because of bitcoin,” said Eric Schiffer, CEO of private equity Patriarch Organization, which has an underweight stance on Tesla.

“Investors are rejecting the stock short term,” he said, saying Tesla’s performance has fallen short of catching up its “astronomical valuation.”

Musk, the company’s CEO, did earn options payouts worth $11 billion based on targets reached by the company.

Shares of the automaker closed down 4.5% at $704.74, down more than 20% from its intraday high reached in January. They had surged more than 700% last year, making Tesla the world’s most valuable automaker.

Tesla posted record deliveries in the first quarter despite a global chip shortage that has slammed auto sector rivals. But analysts said a prolonged shortage of chips and batteries could threaten to dampen its growth prospect.

“A global shortage of computer chips is expected to limit production from all manufacturers in the immediate future, and Tesla won’t be exempt,” said Nicholas Hyett, equity analyst at Hargreaves Lansdown.

“Given the ongoing importance of its production ramp up, it may even be more heavily impacted.”

Regarding supply chain instability, Tesla Chief Financial Officer Zachary Kirkhorn said on Monday, “We believe that this landscape is improving, but it does remain difficult, and it’s an evolving situation.”

Roth Capital Partners said it holds a neutral rating on Tesla, saying that Tesla’s large premium “seems to rest on the specious assumption that the hundreds of EVs slated for launch by ’25 will all be flops.”

“Tesla does not operate in a vacuum,” it said in a report.
